Drafting and Enforcing Compulsory Agreements to Arbitrate Employment Disputes

I. INTRODUCTION

One aspect of the increased use of arbitration has recently engendered greater scrutiny and controversy – the use of mandatory pre-dispute arbitration agreements to resolve employment disputes. “A compulsory arbitration agreement is defined as a prospective agreement between employer and employee to resolve future employment disputes by binding arbitration.” Since the United States Supreme Court’s decision in Gilmer v. Interstate/Johnson Lane Corp., courts are increasingly enforcing compulsory arbitration agreements of employment disputes. In determining whether to enforce the agreement, a court’s decision is likely to be influenced by its perception of the fairness of the agreement. “Some of the major ‘open issues’ regarding compulsory arbitration, then, involve defining the minimum components that a compulsory arbitration agreement must possess to ensure judicial enforcement.” Part II of this article will set forth the primary decisions of the United States Supreme Court regarding arbitration of employment matters. Part III will provide suggestions on how to draft enforceable pre-dispute arbitration agreements of employment claims.

II. SUPREME COURT DECISIONS REGARDING ARBITRATION OF EMPLOYMENT DISPUTES

Since 1974, the United States Supreme Court has addressed the arbitration of employment disputes on several occasions. While the Court has enforced arbitration agreements in the context of individual employment contracts, it has been less willing to restrict the employee’s right to a judicial forum when the arbitration agreement is contained in a collective bargaining contract created by a company and the employee’s union. The following is a brief summary of the primary decisions of the Supreme Court regarding arbitration of employment matters.

A. Arbitration of Employment Disputes in the Collective Bargaining Context

In 1974, the United States Supreme Court first addressed the arbitration of statutory employment discrimination claims in Alexander v. Gardner-Denver Co. Alexander, an African American, was hired by Gardner-Denver as a maintenance worker. Three years later, Alexander’s employment was terminated, and he was informed that he was being discharged because he had produced too many defective parts. Alexander filed a grievance under the collective bargaining agreement in force between the company and his union. The agreement contained a broad arbitration clause covering “differences arising between the Company and the Union as to the meaning and application of the provisions of this Agreement” and “any trouble arising in the plant.” The arbitration clause further provided that the arbitrator’s decision was to be “final and binding upon the Company, the Union, and any employee or employees involved.” Alexander’s claim proceeded to arbitration, and he alleged in part that his discharge resulted from racial discrimination. The arbitrator ruled that Alexander had been fired for just cause.


 
Alexander subsequently filed a Title VII claim against Gardner-Denver in the United States District Court for the District of Colorado, alleging that his discharge resulted from a racially discriminatory employment practice in violation of the Act. The district court granted Gardner-Denver’s motion for summary judgment, holding that the claim of racial discrimination had already been submitted to arbitration, and Alexander, having voluntarily elected to pursue his grievance to final arbitration was bound by the arbitrator’s decision and precluded from suing Gardner-Denver under Title VII. The Court of Appeals of the Tenth Circuit affirmed the district court’s opinion. The United States Supreme Court granted Alexander’s petition for certiorari and reversed the lower courts.
